Metaplanet Plans to Transform Nasdaq-Listed Company into Superplanet with 2,100 BTC

Metaplanet plans to acquire 95.7% of Nasdaq-listed Super League Enterprise for 2,100 BTC and $2.5 million, transforming the company into a U.S.-based Bitcoin treasury platform.

Japan-based Metaplanet (3350) will take control of Super League Enterprise (SLE) with a total investment of $134.6 million. Upon completion of the transaction, the company’s name will change to Superplanet, and its Nasdaq ticker symbol will be SUPA.

Under the agreement, Metaplanet will acquire 44.9 million common shares at $3 per share by contributing 2,100 Bitcoin valued at $132.1 million and $2.5 million in cash. The investment package will also include preferred shares and warrants. The transaction is expected to be completed in the fourth quarter of 2026.

Metaplanet to Hold a 95.7% Stake in Superplanet

Following the closing, the stake of existing SLE shareholders in the company will decrease to approximately 4.3%. Metaplanet will also receive 10-year warrants exercisable for up to a total of 381 million shares. The exercise prices for these warrants will range from $3 to $33.50.

The company will also have the right to make an additional investment of up to $210 million within the next 24 months. Superplanet plans to use its Bitcoin holdings as collateral for future preferred stock issuances. Super League’s existing operations will continue as a separate business segment.

Metaplanet CEO Simon Gerovich stated that the investment was initiated using less than 5% of the company’s Bitcoin holdings and that more contributions could be made as the platform grows. Following the announcement of the deal, SLE shares rose to $5.20, gaining over 70% in value.

The development follows the wave of digital asset treasury companies in 2025. While many companies holding Bitcoin saw their shares trade below the value of their assets, some firms were forced to sell Bitcoin or reduce their debt.
