Critical Warning to Crypto Investors from CME CEO Terry Duffy: Unexpected Tax Risk Looms in This Popular Trade

CME Group CEO Terry Duffy has issued a critical warning regarding the uncertainty in the tax status of perpetual futures contracts approved in the US, stating it could create unexpected financial liabilities and legal risks for investors.

Terry Duffy, the leader of CME Group—one of the world’s largest derivative exchanges—made striking statements regarding the legal definition of these financial products widely used in the cryptocurrency market. Duffy argues that although these products are classified as “futures” by the Commodity Futures Trading Commission (CFTC), they should actually fall into the “swap” category due to their economic structure. This situation creates significant uncertainty in tax filings, particularly for institutional investors.

Under US tax laws, futures benefit from an advantageous system where 60 percent of gains are treated as long-term and 40 percent as short-term capital gains. However, if these products are deemed swaps, all gains will be taxed at higher rates as “ordinary income.” Since the IRS (Internal Revenue Service) has not yet issued clear guidance on this matter, investors face the risk that their current filings may be considered incorrect in the future.

Tax Risk in Perpetual Futures

Duffy cites the lack of an expiration date for perpetual futures—unlike traditional futures—and the continuous flow of funding rate payments between parties as justification. The CME CEO states that this periodic payment mechanism between two parties perfectly fits the legal definition of a swap. If courts or regulatory agencies accept this definition, retroactive tax debts and penalties could come into play.

Legal experts emphasize that the issue is not merely a name change but stems from a conflict between the financial product’s economic function and its legal text. Since courts are now less dependent on the interpretations of regulatory agencies, it has become necessary to resolve this debate through the judiciary. This risk, which companies conducting large-scale transactions might face regarding tax compliance, could trigger a long period of uncertainty in the crypto derivatives market.
