Governance Crisis at the RWA Sector Leader: Founder’s Mother Sues for Control of $2 Billion Company

Kathleen Allman, the mother of Ondo Finance founder Nathan Allman, has filed a lawsuit in Delaware Court seeking the removal of current CEO Ian De Bode and the transfer of company control to her.

Ondo Finance, one of the sector leaders in real-world asset (RWA) tokenization, is being shaken by a deep governance crisis following the passing of its founder. Kathleen Allman, the mother of the company’s founder Nathan Allman, has initiated legal action, claiming that current CEO Ian De Bode irregularly assumed his position without board approval.

The complaint filed with the Delaware Court alleges that immediately following Allman’s passing in May, De Bode positioned himself as the sole authority. Kathleen Allman, known within the company as “Mama Ondo,” argues that in her capacity as the legal representative of her son’s estate, she holds the controlling interest and possesses the authority to restructure the board of directors.

The protocol behind the (ONDO) token, which has a market capitalization of approximately $2 billion, is backed by giant investors such as Coinbase Ventures, Founders Fund, and Tiger Global. While Kathleen Allman attempts to remove De Bode from all positions through the courts, De Bode states that these allegations are baseless and that the company has the full support of key stakeholders.

Investors view the litigation process as a critical juncture, as this governance uncertainty could directly impact the protocol’s strategic decisions and its leading position in the RWA space. While some sensitive information in the court filings remains confidential, the outcome of the case will determine Ondo Finance’s corporate stability and the future of Nathan Allman’s vision to democratize the financial ecosystem.
