SEC Commissioner Peirce’s DeFi Warning: “A Painful Fall” Looms for Crypto Vaults

SEC Commissioner Hester Peirce warned the DeFi ecosystem of a “painful fall,” stating that crypto vaults and on-chain lending strategies could fall under federal securities laws.

Decentralized finance (DeFi) protocols, which are growing rapidly in the cryptocurrency market, are coming under the scrutiny of regulatory bodies. U.S. Securities and Exchange Commission (SEC) Commissioner Hester Peirce stated clearly that moving an activity onto the blockchain does not place it outside the law. Peirce emphasized that structures attempting various methods to evade the law could ultimately take a hard hit.

According to Peirce’s statements, crypto vaults, where users expect to profit from a curator’s management, may be considered common enterprises. If these vaults hold assets of a security nature, it seems inevitable that they will be subject to traditional investment company laws. Furthermore, it is stated that on-chain loans could also be evaluated as securities-like notes, and those managing these strategies may face investment advisory issues.

Is a Registration Requirement Coming for Crypto Vaults?

This important statement parallels remarks made by SEC Chairman Paul Atkins last May, where he called for legal clarity regarding vaults. Atkins argued that these structures are hybrid structures containing elements of both traditional and decentralized finance, and that points of contact with the Securities Act must be identified.

Peirce stated that whether the laws will be applied or not will vary according to the specific circumstances of each project and invited companies to talk. Technically, a vault is defined as a smart contract that collects deposits and distributes them according to a certain strategy. However, this technological definition does not prevent regulators from viewing these structures as investment funds or curators as portfolio managers.
